Help for Michigan Business & Payroll Tax Problems

Tax Attorney Representation for Michigan Businesses

Tax requirements for Michigan businesses are complex, and it’s easy to make mistakes or get behind. Unfortunately, falling behind on payments and returns with the Department of Treasury (DoT) can trigger penalties and interest and, eventually, aggressive collection actions such as wage levies, bank levies, and asset seizure.

You don’t have to face this alone. At The W Tax Group, we can help you with your MI DoT business tax problems at whatever collection stage you’re at. Don’t put your business at risk – request a free consultation to learn more about our services.

You’re in the Right Place If…

Wondering if you need help from a Michigan tax attorney for delinquent payroll taxes or other business tax problems? Our attorneys can jump in if you’re dealing with:

  • Unfiled or delinquent business tax returns.
  • Michigan Treasury notices about unpaid payroll or business taxes.
  • Escalating interest and penalties on your state tax debt.
  • Collection actions (liens, levies on business assets, or refund offsets)
  • Disputed state tax assessments or audit notices.
  • A risk of personal liability for business tax debt.
  • Closing a business with Michigan tax debt.

Our attorneys can help you get back into filing compliance and negotiate a payment plan or relief option. If the MI DoT has already denied your request for relief, we can review what’s happening and help you appeal or re-apply depending on the situation.

Let’s Resolve Your Michigan Payroll & Business Tax Problems

Payroll tax compliance centers on getting the withholding rates right, filing the correct forms, and handling local city taxes and unemployment correctly. On top of that, you may also have to navigate other business tax requirements for the state.

When you contact our tax attorneys, we can help you resolve these common problems as well as any others you may be facing.

Late or unfiled payroll or business tax returns

Michigan withholding returns and payments may be due monthly, quarterly, or annually, depending on the business’s assigned filing frequency. All withholding filers must also submit an annual return by February 28. Your business may also need to file a return for Corporate Income Tax or Flow-Through Entity (FTE) tax.

Businesses often fall behind on payroll, sales/use, or other Michigan tax filings, and even when catching up on unfiled Michigan tax returns feels impossible, our team of experienced tax attorneys can help you get there.

Penalties and interest for paying or filing late

Businesses that don’t pay taxes by the required deadline face penalties and interest. Michigan generally imposes a 5% penalty for the first two months and another 5% for each additional month, or part of a month, that taxes remain unpaid or unfiled, up to 25%.

Let’s stop the bleeding by setting up a relief option, while also reducing your balance owed through penalty abatement whenever possible.

Unpaid payroll taxes or other business tax debt

Your business may owe Michigan taxes because of filing without paying in full, state assessments, penalties and interest, or a combination of these factors. Don’t let the situation snowball and put your cash flow at risk. Let us help you with:

  • Michigan Business Tax – applies to legacy filers who opted to stay under this tax system to claim unused credits when the State transitioned to a Corporate Income Tax.
  • Corporate Income Tax – applies to businesses with over a certain threshold of sales, with reduced rates available for qualifying small businesses.
  • Sales Tax – must be collected and remitted by all businesses selling taxable goods in Michigan or out-of-state businesses with nexus in the state.

Our attorneys will help you determine exactly what is owed and what options are available for addressing the balance.

Sales tax problems

Our sales tax attorneys in Michigan also represent businesses dealing with the full range of sales tax problems. Reach out if you want assistance with:

  • sales tax audits
  • unpaid Michigan sales tax
  • setting up payments on sales tax debt
  • applying to settle sales tax
  • loss of sales tax license for delinquent sales tax

Michigan Treasury notices and assessments

If the treasury believes your business is missing a return or payment, or an adjustment has increased the amount you owe, the Department will send a notice. Ignoring the notices will escalate collection actions.

Whether you’re facing an assessment notice, a collection demand, or another type of letter from the state, our team can help you respond.

Potential personal liability for business tax debt

Certain state taxes can potentially lead to personal liability for responsible individuals. Regardless of your business structure, the MI Treasury can hold owners, corporate officers, or other responsible parties personally liable for unpaid sales tax and MI withholding tax, putting your personal assets at risk.

Our attorneys will help you deal with the State of Michigan, and if needed, we’ll also help defend you from IRS Trust Fund Recovery Penalties (TFRP) as well. Our team has the experience you need when facing tax problems with your business.

How We Help With Michigan Payroll Tax Problems

Here are some solutions we help our business clients obtain when they engage our help for Michigan payroll and business tax problems:

Help catch up on missing tax returns.

We can help identify outstanding Michigan payroll and business tax returns, gather the necessary information, prepare the returns, and address outstanding filing requirements.

Determine the best tax relief option.

If your business owes Michigan taxes, we can review the balance, determine how the liability came about, and discuss available options for addressing the debt to protect your assets. We help you find a resolution option that works with your business’s cash flow needs, including:

  • Michigan DoT installment agreements
  • Settlements on MI business taxes
  • Penalty abatement in Michigan

Respond to Michigan Treasury notices.

We can review your Treasury notice, explain what it means, identify what caused the issue, and help determine the appropriate response. When you work with our tax attorneys, you don’t have to worry about corresponding with the DoT about payroll tax problems. We will deal with all of it.

Correct filing errors.

If previously filed returns contain errors, we can determine whether amending the returns or taking another corrective action is the best solution.

Review penalties and interest for abatement opportunities.

We can review the penalties and interest assessed against your business and determine whether you have grounds to request relief or whether another resolution strategy applies.

Get your business back into compliance.

Once you’ve addressed outstanding filings, payments, and notices, we can help establish a process to ensure your Michigan business tax obligations are current.

When You Really Need a Tax Professional

It’s okay to handle simple payroll tax problems or other concerns with business taxes; however, there are times when hiring a tax professional is the right move. Here are instances when you need a tax professional:

  • You have a large or multi-year payroll tax debt.
  • Your case involves complex facts or mixed federal/state issues.
  • You’re at risk of being determined to be a responsible person (liable for business tax debt) because you are an owner, officer, etc of a business with unpaid MI withholding taxes.
  • The DoT is already enforcing collection actions such as bank levies and tax liens.
  • You’ve received an audit notice or notice of intent to assess from Treasury or the Unemployment Insurance Agency (UIA).
  • You’ve already tried to handle a payroll tax problem yourself and weren’t able to get a resolution that works for your situation.
  • You’re worried about a risk of tax evasion charges or imprisonment for unpaid payroll taxes.

  • Strategize: We create a plan based on your business’s specific tax situation. Depending on what we find, this may involve filing delinquent returns, correcting errors, responding to an audit, addressing outstanding tax liabilities, requesting penalty relief, or exploring available payment and resolution options.
  • Execute: Once we agree on the approach, we go ahead and get started to avoid further consequences. We file all the necessary paperwork, submit supporting documents, and negotiate with the state on your behalf.
  • Long-term support: Once the current tax problems are resolved, we offer tips to ensure you stay compliant and you don’t end up with the same tax issues.

If you owe federal taxes as well, our IRS tax resolution attorneys will help you coordinate a solution that works alongside your Michigan tax solution.

Get Help With Michigan Payroll Tax Problems

Like any other tax problem, time isn’t your friend – the longer you wait to resolve a business tax problem, the more you’ll pay in penalties and interest. Ignoring the state notices puts you at increasing risk of enforcement actions such as bank levies and asset seizures. And with some state taxes, your personal assets may be at risk too – not just your business assets.

At The W Tax Group, we help business owners review their business tax accounts, notices, and tax debt and determine the best resolution option for their case. Schedule a consultation with us and help us help you protect your business and assets.

You can reach us by calling (877) 500-4930 or filling out this form to schedule a consultation.

Frequently Asked Questions (FAQs)

Here are answers to common questions we get about Michigan payroll tax problems:

Can Michigan assess payroll withholding tax against me personally, not just my company?

Yes. Just as the IRS can with the federal Trust Fund Recovery Penalty, Michigan can pursue personal liability against “responsible persons” who willfully fail to remit withheld taxes. A willful failure simply means you knew the taxes were due and you chose not to pay them – even if you used the funds to keep the business open (for example, paying utilities, rent, or inventory), the state still sees that as a willful action. Officers, owners, or anyone who controls payroll decisions may be assessed individually for the unremitted withholding taxes, plus penalties and interest.

If I use a payroll service, am I still liable for Michigan withholding mistakes?

Yes. Michigan makes clear that employers remain responsible for correct withholding even if a third-party payroll provider files and pays on their behalf. If your provider under-withholds, files late, or uses the wrong rates, Treasury and UIA will assess your business, not the payroll company.

Can I protest or appeal a Michigan payroll tax assessment?

Yes, you have formal appeal rights. For Treasury withholding assessments, you can request informal conferences and, if needed, appeal to the Michigan Tax Tribunal or Court of Claims. For UIA tax assessments (SUI, status, rate), you can file protests and appeals using specific employer forms (e.g., 1471C, 1471L, 1471T) and, if necessary, proceed to an administrative law judge hearing. Missing strict deadlines, however, can waive these rights entirely.

Can I go to jail for not paying Michigan payroll taxes?

Yes; however, it’s very rare. It’s reserved for willful fraud or intentional evasion, not honest mistakes or cash‑flow issues. Under MCL 205.27, knowingly failing to file/pay or filing false returns with intent to defraud is a felony punishable by up to 5 years in prison and fines up to $5,000. City payroll violations can carry up to 90 days for willful failures. Most cases result in civil penalties, interest, liens, and levies, not criminal charges.

I withheld Michigan income tax from employees and used it. What now?

Withheld taxes are trust funds, and failing to remit them is taken very seriously. Contact the Michigan DoT to discuss an installment agreement, which allows you to pay monthly while staying compliant. Penalties and interest will keep accruing, and the DoT may file a lien but will not levy your assets as long as you make payments as agreed upon.
